Wholesale Terms
This agreement governs every wholesale account with Origyn Labs ("we," "us"). By opening an account, placing an order, or accepting shipment, the business named on the account ("Buyer") agrees to these terms.
1. No sale into prohibited jurisdictions; no sale to anyone under 21
Buyer will not resell, ship, or distribute any Origyn Labs product into any jurisdiction where the sale, possession, or distribution of kratom, Mitragyna speciosa, or mitragynine is prohibited or restricted. Buyer will not sell or distribute any Origyn Labs product to anyone under 21 years of age. The current list of jurisdictions we ship to is published on our Shipping & Jurisdictional Restrictions page and changes as law changes; Buyer is responsible for checking it before every resale shipment.
2. No repackaging, relabeling, or altering
Buyer will not repackage, relabel, alter, or add any substance to Origyn Labs products, and will not remove, obscure, or alter any lot identification, QR code, or warning printed on the product or its packaging. Every unit must reach the end purchaser in its original packaging with its original labeling intact.
3. No unauthorized claims
Buyer will not make, publish, or imply any claim about an Origyn Labs product — health-related, therapeutic, comparative, or otherwise — that Origyn Labs does not itself make in its own published materials. This applies to Buyer's own marketing, packaging, sales conversations, and any third-party platform where Buyer lists the product.
4. Recall cooperation
Buyer will cooperate fully with any recall, withdrawal, or field notification Origyn Labs initiates. On request, Buyer must produce lot-level distribution records — the lots received, the quantities, and the downstream businesses or locations they were shipped to — within the timeframe Origyn Labs specifies. 5. Right to suspend or cancel
Origyn Labs may suspend shipment to any jurisdiction, or cancel any order that has been accepted but not yet shipped, immediately and without notice, including in response to a change in law. Where we cancel an accepted but unshipped order under this section, a refund of amounts paid for that order is Buyer's sole and exclusive remedy.
Account approval
Approval is manual. No account is approved automatically on submission. We may refuse an application at our discretion, including where information cannot be verified or where the declared destination states do not clear our jurisdiction allowlist.
Documents required
- Legal entity name
- EIN
- State of formation
- Physical business address (a PO box is not accepted)
- Resale certificate or seller's permit, with the document uploaded
- State kratom processor or retailer registration for every destination state that requires one
- Authorized signatory name, title, and identification
- Declared destination states, checked against our shipping allowlist
Ship-to allowlist and address validation
We ship only to jurisdictions on our current allowlist. Billing and shipping addresses are checked against that list, and against known freight-forwarder and PO box patterns, before an order is created. An address that does not clear this check cannot be used to place an order. See Shipping & Jurisdictional Restrictions.
Payment terms
[Placeholder, subject to counsel and finance review.] Card or ACH is required for the first three orders on a new account. Net 30 terms are available thereafter, subject to approval.
Title and risk of loss
Title and risk of loss pass to Buyer at the time product is tendered to the carrier at our shipping origin.
Buyer's compliance responsibility
Buyer is independently responsible for compliance with the law of its own jurisdiction and of any jurisdiction it resells into, including any license, registration, or permit that jurisdiction requires. Origyn Labs' allowlist reflects our own determination and does not substitute for Buyer's own legal review.
Termination
Either party may terminate this agreement and the underlying account on written notice. We may also terminate or suspend an account immediately for a breach of Sections 1 through 5 above, for a change in the law affecting Buyer's jurisdiction, or for a failure to maintain a required license or registration.
Signatures
Signed wholesale agreement is required before first shipment.
